Website Terms of Use
1. Website operator and scope
These Website Terms of Use (Website Terms) govern general access to and use of https://www.arkatal.com/ (Website). The Website is operated by ARKATAL PTE. LTD., UEN 202637231W, of 100 Tras Street, #16-01, 100 AM, Singapore 079027 (we, us or our). Platform services accessed through the Website are also subject to the expressly accepted terms described in section 3.
Please read these Website Terms before using the Website. By using the Website after being given a reasonable opportunity to read these Website Terms, you agree to them. If you do not agree, you should not use the Website. This use-based acceptance concerns general Website use only; it does not form a company Platform Agreement or impose platform fees or agency obligations.
You means the person accessing the Website and, where that person is authorised to act on behalf of a business, that business. If you act on behalf of a business, you confirm that you have authority to do so.
2. Purpose of the Website
The Website provides information about our business and the services we offer or intend to offer in connection with business-to-business consulting engagements.
A Client is an eligible company procuring consulting services for its business. A Fractional Company is an eligible independent service-provider company offering services on its own account. A Fractional Expert is the named individual presenting or delivering that company’s expertise, not the personally contracting supplier. Under the current platform contracting framework, both contracting companies must be incorporated in Singapore and limited by shares. This eligibility restriction does not prevent other people or businesses from browsing the public Website or making enquiries.
The Website may enable company Users to create profiles, provide requirements and expertise, evaluate matches and manage permitted platform activities. Individuals may also register and prepare for future company participation under the personal-account agreement in the Platform Terms, including viewing permitted generalised Opportunity Summaries. Client searches, full opportunities, bidding, introductions and contracting remain subject to verified company onboarding and activation.
Features and services may be introduced, changed or withdrawn over time. Descriptions of planned features do not mean that those features are currently available or constitute a commitment to a particular launch date.
3. Additional terms and business engagements
These Website Terms cover general use of the Website. Accounts, profiles, matching, introductions, messaging, commercial agency and related platform services are governed by the Platform Services, Commercial Agency and Standard Engagement Terms (Platform Terms), available at Platform Terms, with the obligations applicable to each company’s role. We present a retainable version for express acceptance by an authorised representative of the identified company before forming its Platform Agreement and providing services governed by it.
For platform commercial matters, the accepted Platform Terms prevail over these Website Terms, including when platform features are accessed through the Website. The Platform Terms contain separate contracts and role-specific obligations; they do not make Arkatal the service supplier. You are not bound to a Platform Agreement by an unpublished or unaccepted document, an email footer, silence or merely visiting the Website.
Browsing the Website, sending a general enquiry or receiving an unsolicited introduction does not, by itself, appoint us as your agent or create an employment, partnership, joint venture or Engagement with us or another user. An Engagement is the direct contract between the identified Client and Fractional Company, formed through the authorised SOW execution process in clauses 5 and 7 of the Platform Terms. Discussions, drafts and supplier approval alone do not form it. Permitted communications and contractual notices remain available under the Platform Terms. Their Off-Platform Arrangement rules remain applicable and do not declare external agreements legally ineffective.
These Website Terms do not themselves impose Platform Fees. Any applicable matching, SOW, service or covered off-platform fee follows the disclosed fee framework and required company acceptance under the Platform Terms. An Introduction does not by itself establish that a fee is immediately payable.
4. Intellectual property and permitted use
Except for materials belonging to users or other third parties, rights in the Website and its text, branding, graphics, design and software belong to us or our licensors. No ownership of those rights is transferred to you.
You may view public Website material, download or print reasonable extracts of that public material, and share those extracts internally within your business to evaluate our services, provided you retain ownership notices and do not misrepresent the content or its source. This permission excludes protected profiles, CVs, match results, rankings, shortlists and other restricted platform content. Their evaluation, comparison, comments and internal sharing must remain within the controlled Arkatal workspace through authorised individual accounts under clause 6.13 of the Platform Terms. Its narrow exceptions permit necessary copies of your own lawful inputs, signed SOWs and mandates, invoices, payment records, deliverables, necessary dispute evidence, legally required records and material expressly exportable for a permitted Engagement. Those exceptions do not permit profile packs, screenshots retained externally, copied talent directories or unrelated profile harvesting. Mandatory disclosure and statutory individual rights are preserved. For accepted platform matching, clause 8.9 of the Platform Terms governs result access and expiry, including the signed-work extension limited to the contracted Fractional Company’s relevant details and the separate essential-record protections.
Except as permitted by applicable law or with our written permission, you must not republish, sell, license, commercially exploit or substantially reproduce Website content, or use our branding in a way that suggests an affiliation or endorsement. These restrictions do not limit rights that cannot lawfully be restricted.
5. Acceptable use
You must not use the Website unlawfully; impersonate another person or business; submit fraudulent, misleading or infringing material; introduce malware; interfere with its operation; gain unauthorised access; bypass security or access restrictions; or misuse another person's information. Prohibited conduct includes malicious embedded instructions, prompt injection, data poisoning, fabricated profiles or references, coordinated false feedback and manipulation of matching, ranking, approvals, evidence, commencement or payment records. Accurate surrounding facts do not excuse malicious instructions. You must not seek to induce Arkatal, its staff or an agent to undertake prohibited employment activity or unrelated payment activity. Ordinary permitted operational instructions and expressly authorised testing within its recorded scope are not prohibited manipulation.
You must not use automated systems, bots, crawlers or scraping tools to access, extract or copy content or data from the Website except with our prior written permission or as expressly permitted by us. An approved integration or interface is limited to its documented scope, permissions, rate and security limits and any recorded withdrawal or revocation. It does not itself authorise a communication, SOW execution, charge, record change or other external action without the specific authority required under the Platform Terms. Neither payment of a matching or off-platform fee nor technical access grants scraping, profile-export, publication or model-training rights.
For accepted company accounts, clauses 1.4 and 6 of the Platform Terms govern entrusted access, automation and company responsibility within their stated limits. For Individual Participants, clauses 3.7–3.13 govern their own account conduct, reciprocal protections and liability; personal registration does not guarantee company debts. Account holders must not misuse restricted previews to identify or contact clients, scrape or redistribute protected material, or bypass activation. Existing reasonable matching controls, accrued credits, refunds, signed commitments and essential-record protections remain.
6. Enquiries and materials you provide
You must have the necessary rights, permissions and applicable lawful bases to submit information and authorise its specified permitted uses. Company authority does not replace another owner’s rights or an individual’s applicable data-processing basis. For company-supplied or expressly approved factual platform information, the Platform Terms require accuracy and no material misleading statement or omission, with prompt correction of discovered material inaccuracies. Estimates, opinions, forecasts and unverified third-party information must be honestly identified as such; a label does not excuse knowingly false or misleading content. A company does not warrant an Arkatal-generated invention it neither supplied nor approved. Please do not send another person’s personal data without the required authority, notices and applicable consents or other lawful basis.
You retain rights in your submissions. Ordinary enquiries permit only handling reasonably needed to respond, carry out agreed follow-up and meet legal requirements; an unsolicited email or website visit does not grant a broad development licence. Accepted platform use has separate operational, content and anonymised-development permissions in the Platform Terms. Their clause 12.7 permits matching/evaluation sharing within its accepted audience; clause 12.8 separately permits authorised generalised Opportunity Summaries for onboarding, outreach and public marketing, including historical examples and the Client’s marketing-stop route. Neither permission makes all underlying profiles or briefs public.
Please do not send trade secrets or other commercially sensitive information unless we have agreed appropriate arrangements first. Sending unsolicited material does not itself create a separate confidentiality agreement. This does not remove confidentiality already arising under an accepted Platform Agreement, including its pre-engagement protections before any SOW is signed, any separately agreed confidentiality arrangement, or duties that otherwise apply by law.
7. Website information and external links
Website information and Opportunity Summaries are information for evaluating services, not a binding offer or guarantee of work, eligibility, selection, income, a match or continuing availability. Historical examples need not describe live opportunities and do not imply client endorsement. These limits do not remove an express service commitment, correction obligation or required reasonable care under the Platform Terms.
The Website may contain links to third-party websites or resources. Unless expressly stated otherwise, a link does not indicate our endorsement. We do not control those websites, and their own terms and privacy notices apply. You may link to our public pages provided you do so fairly and do not imply an association or endorsement that does not exist.
8. Availability, security and suspension
We do not promise that the Website will always be available, uninterrupted, error-free or free from harmful material. You are responsible for suitable security measures on your own devices and networks.
We may maintain, change or withdraw the Website, or restrict access where reasonably necessary for security, legal compliance or a breach of these Website Terms. We will give notice where reasonably practicable. This section does not override obligations under a separate service agreement or our legal duties to protect personal data. For accepted platform matching, the specific controls and protections in clause 6.15 of the Platform Terms apply; this section does not bypass the platform notice or cure rules or cancel an Engagement.
9. Liability
Nothing in these Website Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.
Subject to the preceding paragraph, and only to the extent permitted by law and any applicable requirement of reasonableness, we are not liable for indirect or consequential loss arising from general access to or use of the Website. This includes lost profits or opportunities only where those losses are indirect or consequential.
This section concerns general Website use. It does not replace the allocation of responsibility under the accepted Platform Terms or an Engagement, reclassify platform claims as general Website claims, or limit your statutory rights concerning personal data or complaints to a regulator.
10. Personal data
Our Privacy Notice explains website, enquiry, personal-account and platform processing, including lawful preparation into anonymised development material and commercialisation of resulting technology. Clauses 50–51 of the Platform Terms provide participant notices and required recording permissions. The content licence does not establish a personal-data basis, and identifiable sources are not broad-training inputs under the ordinary route. Browsing or sending an enquiry does not grant the development licence.
Acceptance of these Website Terms does not, by itself, constitute consent to every collection, use or disclosure of personal data. We will provide relevant notifications and obtain consent where required by applicable law.
11. Changes to these Website Terms
We may update these Website Terms and will show the revised date above. Changes apply to future use after the revised terms have been made available and any notice or acceptance required by law has been provided or obtained. We will take reasonable steps to draw material changes to your attention.
Changes do not retrospectively introduce fees, vary an accepted Platform Agreement or executed SOW, or supply new personal-data permissions. Changes to a Platform Agreement or Engagement follow clauses 1.7, 20.9 and 21.2 of the applicable Platform Terms, including required notice, renewed acceptance and protection of signed commitments.
12. Governing law and general provisions
These Website Terms and disputes arising out of or in connection with them are governed by Singapore law. Subject to any mandatory legal rights, the Singapore courts have exclusive jurisdiction.
If a provision is held invalid or unenforceable, the remaining provisions continue to apply. A delay or failure to exercise a right is not a waiver of that right. These Website Terms do not prevent a person from exercising a statutory right or contacting a competent regulator.
